Audikite Terms & Conditions

Welcome to Audikite. These Terms & Conditions ("Terms") govern your access to and use of the Audikite website and platform. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use Audikite.

1. Introduction and Platform Nature

Audikite currently operates as a public-facing, music-focused digital platform providing informational and entertainment content. At this time, the platform does not require or support user account registration, user-generated media uploads, or direct financial transactions.

2. Platform Ownership and Assignment

Audikite is currently owned and operated as an individual proprietorship based in Chennai, Tamil Nadu, India.
Assignment: We explicitly reserve the right to assign, transfer, or delegate these Terms and our rights and obligations hereunder, in whole or in part, to any future registered business entity (such as a Private Limited company or Udyam-registered enterprise) formed to operate Audikite. Such a transfer will occur automatically and will not require you to sign a new agreement or provide additional consent.

3. User Eligibility

Audikite is intended for a general audience. If you are under the age of 18, you must have the implicit permission of a parent or legal guardian to browse and use the public features of this platform.

You agree to use Audikite only for lawful purposes. To protect our infrastructure and content, you are strictly prohibited from engaging in the following activities:

All original content, branding, UI designs, and informational resources currently hosted on Audikite are the intellectual property of Audikite or its respective licensors. You may view and interact with this content for personal, non-commercial use, but you may not reproduce, distribute, or create derivative works from our content without our express written permission.

6. Educational and Entertainment Disclaimers

Audikite provides music-focused content, resources, and general information for educational and entertainment purposes. We act strictly as an informational provider. We explicitly disclaim any liability regarding your personal musical success. We do not guarantee any specific outcomes, including but not limited to passing conservatory exams, securing professional opportunities, or mastering an instrument as a result of using our platform.

7. Disclaimer of Warranties ("As-Is")

Audikite is provided on an "AS-IS" and "AS-AVAILABLE" basis. We utilize third-party infrastructure (including Vercel and Supabase) to host and operate the platform. We explicitly do not guarantee 100% uninterrupted service, absolute security, or an error-free user experience. Audikite is not responsible for, and will not compensate any user for, any perceived loss of data, time, or opportunity resulting from server downtime, software crashes, or UI/UX disruptions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Audikite, its operator, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform. Under any and all circumstances, Audikite’s total aggregate liability to you for any claims arising from or related to these Terms or your use of the platform is strictly capped at a maximum nominal flat amount of ₹5,000 INR.

9. Governing Law and Dispute Resolution

These Terms and your use of Audikite shall be governed by and construed in accordance with the laws of India.
Mandatory Arbitration and Jurisdiction: Any legal disputes, controversies, or claims arising out of or relating to these Terms or the platform shall be resolved exclusively through binding, neutral arbitration conducted in Chennai, Tamil Nadu, India. By using this platform, you explicitly waive your right to pursue class-action lawsuits or litigate disputes in a standard court of law, agreeing instead to submit to the exclusive jurisdiction of the arbitration proceedings in Chennai.

10. Modifications to the Terms

We reserve the right to modify these Terms at any time. When significant structural changes occur, we will update the "Effective Date" at the top of this document and post a temporary announcement at the top of the platform's main interface summarizing the updates and providing a direct link to the revised Terms. Your continued use of Audikite after any modifications indicates your legal acceptance of the updated Terms.
